I: DISTRIBUTOR REQUIREMENTS

Affiliates who purchase a minimum of 5 products will be eligible for the distributor policy. They will receive maximum support from the company, including brand building, online sales channel development consulting, and product promotion through advertising and livestreaming.

Note: This offer applies specifically to dealers who do not wish to import goods. Affiliate program policy : No need to stock inventory, no need to ship goods. The company will handle the entire order processing for you.

When listing products for sale online, distributors can use product information and images from the company's official website or Facebook page: Shinnara.

Note: For images and product information, distributors/collaborators must obtain them only from official Shinnara sources or official Shinnara partners. We will not be responsible for inaccurate information from other sources.

III. BENEFITS FOR DISTRIBUTORS

Distributors at Platinum rank and above can utilize the company's sales ecosystem to build their own brand image. They also benefit from 9 other exclusive incentive policies applied according to their distributor rank and sales performance.

Sales and Marketing: The company assists distributors in creating advertising banners, brand logos, and sales images.

Franchise fee sponsorship: The distributor is granted the right to use the company's brand image to build their own sales channel.

Website launch cost support: The company's operations team will assist in building a basic website according to the distributor's needs, excluding operation costs.

Online channel operation support: The company's operations team directly participates in supporting the development of the distributor's sales channel.

Shinnara Ecosystem: From production to communication, we will allocate a budget to advertise our distributors on the company's official media channels.

Exclusive distribution rights: Outstanding distributors are granted exclusive rights to desired product codes at the national or regional level, corresponding to their membership level.

Bonus discounts: Cash rewards based on sales achieved at the end of each year, according to ranking.

IV. REFERENCE PRICING POLICY:

Wholesale price : The price for wholesale customers is applied according to the distributor's policy.

Listed price : The company sets the maximum price range for its products.

Suggested retail price : The price listed by the company as the ceiling price for the products.

Floor price : The lowest price a distributor is allowed to sell at during a promotional campaign. They are not permitted to sell below this price. This is to maintain stable pricing and prevent price undercutting in the market.

Inventory: The company will continuously update the current inventory status and actual stock levels daily.

Note:

– The selling price of products to the market is determined by the collaborator/distributor based on their sales channel; dealers can refer to the price ranges provided by the company. They are not allowed to sell at a price lower than the floor price.

– The listed price will remain relatively stable; if there are any changes, the company will notify the dealers in advance.

V. DISTRIBUTOR ORDER PROCESSING PROCEDURE

Distributors will be assigned to a private chat group with the operations team, and all updates regarding inventory status, orders, and promotions will be communicated to them via email, Zalo, or phone.

Before placing an order, distributors should note the following procedure:

Step 1 : Complete the order file according to the company's specified template.

Step 2 : The distributor sends the order file to the company to check the inventory status.

Step 3: After confirming inventory, the distributor proceeds to pay for the goods into the branch company's bank account as shown below.

Step 4: After the company confirms payment, the goods will be shipped to the distributor's warehouse.

VI. RETURN POLICY

The company has a policy of accepting returns from distributors in cases where goods are damaged due to objective issues on the supplier's side. If a distributor wishes to discontinue selling the company's products, the company will provide solutions to assist the distributor in handling the remaining inventory in their sales channels.

Note: To maintain product quality transparency and standard storage conditions, the company does not accept returns of products that have been shipped more than 7 days prior to the shipping date. Therefore, distributors should note that they should order appropriate quantities based on sales potential to avoid slow-selling items and prolonged inventory buildup, which can lead to inefficient business operations.

We do not accept returns for goods damaged due to faults caused by the distributor or its related parties, except in cases of force majeure. The company will assess each case individually to provide the best possible support to the distributor.

VII. DEBT POLICY

1. Conditions of application

This offer applies only to distributors who have partnered with us for at least 3 months and have a history of on-time payments on at least the last 2 orders.

Note: New agents or collaborators are not eligible for credit terms (100% payment is required before shipment).

2. Credit limit

Maximum credit limit: not exceeding 30–50% of the average import value of the last 3 months. Each distributor can only have a maximum of 1 active credit order at a time. The company reserves the right to adjust the limit based on business performance and payment history.

3. Payment terms

Standard timeframe: 15 days from the invoice date.

Long-standing distributors or those with high sales figures may have their applications reviewed within a maximum of 30 days.

4. Interest/penalties for late payment

Overdue by 1–7 days: a warning will be issued and new orders will be temporarily suspended.

Overdue by 8–15 days: a penalty interest of 0.05% per day will be charged on the overdue amount.

Overdue by more than 15 days: the company has the right to revoke the credit limit, stop supplying goods, and take legal action if necessary.

5. Reconcile accounts payable

The company sends monthly accounts receivable reconciliation statements via email/Zalo for confirmation.

The distributor is responsible for responding within 3 business days if any errors occur.

6. Payment Guarantee

For accounts receivable exceeding 200 million VND, the company may require a deposit or guarantee from an individual/business.

In the event of signs of risk (repeated late payments, sharp decline in sales, etc.), the company has the right to revoke the credit limit without prior notice.

VIII. SUPPLEMENTARY CLAUSES

1. Pre-order period

This applies if the goods are out of stock at the time of ordering. The goods need to be shipped from the central warehouse to Vietnam.

Order processing time:

Buyers must place orders before 4:00 PM (Vietnam time) for same-day processing.
Orders placed after 4:00 PM will be considered orders placed on the next business day.

Shipping time:

The shipping time for goods from South Korea to Vietnam is 04 (four) working days , excluding weekends (Saturday, Sunday) and public holidays in South Korea or Vietnam.

Please note the delivery schedule:

In cases where shipping time coincides with holidays, flight delays, or other force majeure events, the delivery time may be adjusted accordingly. Both parties will discuss and confirm the actual delivery schedule in each specific case.

Planned order quantity:

The Buyer is responsible for planning orders appropriately to ensure sufficient supply for business operations, avoiding shortages that disrupt sales or overorders that lead to excessive inventory.
In the event that the order quantity is unreasonable and affects the Seller's production plan, inventory, or delivery schedule, both parties will discuss and adjust the order schedule for the next period to ensure the effectiveness of long-term cooperation.

# PURCHASING GUIDE

Step 1: Check inventory

Agents check inventory on the website or contact the company to confirm inventory before receiving orders from customers.

Step 2: Confirm order

The collaborator confirms the order with the customer, then sends the order information to the company to process the bill of lading.

Step 3: Payment

In case the collaborator receives money from the customer, the collaborator must pay for the goods before the company sends the goods.

Step 4: Check the bill of lading

After the order is shipped, the company will send the bill of lading information to the collaborator to track and check the bill of lading.
